一、關於我們與條款之適用

本服務條款（下稱「本條款」）係由 VSTREL（中文名稱：維斯托，下稱「本公司」或「我們」）與您（下稱「使用者」或「您」）就本公司所經營之網站 vstrel.com 及其子網域，以及本公司所提供之各項軟體產品與服務（下稱「本服務」）所訂立。

當您使用本服務時，即表示您已閱讀、瞭解並同意接受本條款之全部內容。若您不同意本條款之任何部分，請停止使用本服務。

本公司針對個別產品（例如 Pallo）另訂有專屬服務條款者，該專屬條款就該產品之使用優先適用；專屬條款未規定之事項，適用本條款。

二、服務內容

本公司從事軟體之研究、開發與提供，服務內容包括但不限於媒合平台、流程自動化工具與應用型人工智慧產品。

就本公司所提供之媒合性質平台（例如貨運媒合服務 Pallo），本公司之角色僅為提供資訊揭露與交易撮合之技術服務提供者。本公司並非運送契約、承攬契約或其他使用者間所成立契約之當事人，不承擔運送人、承攬運送人或類似地位之義務與責任。使用者間之契約內容、履約、給付、瑕疵、毀損、遲延及其衍生之一切爭議，均由該等使用者自行負責處理。

三、帳號註冊與管理

部分服務須註冊帳號後始得使用。您應提供正確、最新且完整之資料，並於資料異動時即時更新。
您應自行妥善保管帳號與密碼，不得轉讓、出借或授權他人使用。凡經由您帳號所為之一切行為，均視為您本人之行為。
如發現帳號遭不明人士使用或有其他安全疑慮，您應立即通知本公司。
若您提供之資料有虛偽不實，或有違反本條款之情事，本公司得暫停或終止您之帳號。

四、使用者義務與禁止行為

您於使用本服務時，不得為下列行為：

違反中華民國法令、公共秩序或善良風俗。
提供虛偽不實之資料，或冒用他人名義、身分、證照或資格。
侵害本公司或任何第三人之智慧財產權、隱私權、營業秘密或其他權利。
以自動化程式、爬蟲或其他非正常方式大量擷取本服務之資料，或干擾、破壞本服務之正常運作。
從事任何可能損害本服務系統安全、穩定性或其他使用者權益之行為。

五、第三方服務

本服務之運作可能整合第三方服務（例如金流服務、地圖與定位服務、雲端運算與資料庫服務、推播通知服務）。該等第三方服務之提供、內容、可用性及其對您個人資料之處理，適用各該第三方之服務條款與隱私權政策，本公司不就該等第三方服務之品質或穩定性負擔擔保責任。

六、智慧財產權

本服務所使用之軟體、程式、原始碼、介面設計、圖像、商標、文字及其他內容，其著作權、商標權及其他智慧財產權均屬本公司或合法權利人所有。非經本公司事前書面同意，您不得重製、改作、散布、公開傳輸、還原工程、反組譯或為任何商業利用。

您因使用本服務而上傳、提供之內容（例如貨物資訊、照片、文字），其權利仍歸您所有；惟您同意授權本公司於提供、維護與改善本服務之必要範圍內，使用、重製、傳輸及處理該等內容。

七、免責聲明與責任限制

本服務係依「現狀」及「現有」基礎提供。本公司不擔保本服務永不中斷、無錯誤、完全安全，亦不擔保任何資訊之正確性、完整性或適合特定目的。
因不可抗力、網路壅塞、設備故障、電信中斷、第三方服務異常或其他不可歸責於本公司之事由，致本服務全部或一部無法使用者，本公司不負賠償責任。
就使用者間因交易或契約履行所生之爭議、損害或損失，本公司不負任何責任。
於法律允許之最大範圍內，本公司對您所負之損害賠償總額，以您於請求權發生前十二（12）個月內就本服務實際支付予本公司之費用總額為上限。
前述限制不適用於本公司之故意或重大過失，亦不排除依法不得預先限制或免除之責任。

八、服務之變更、暫停與終止

本公司得於必要時（包括系統維護、升級、調整或法令變更）變更、暫停或終止本服務之全部或一部，並儘可能於事前公告。您得隨時停止使用本服務或申請終止帳號。

九、條款之修訂

本公司得隨時修訂本條款，並於本頁面公告修訂後之內容及生效日期。修訂生效後您仍繼續使用本服務者，視為您同意修訂後之條款。

十、準據法與管轄法院

本條款之解釋與適用，以及您與本公司間因本服務所生之爭議，均以中華民國法律為準據法。雙方同意以臺灣臺北地方法院為第一審管轄法院，但不得排除消費者保護法及其他法律關於專屬管轄之規定。

1. About us and scope

These Terms of Service (the "Terms") govern your use of the website vstrel.com and its subdomains, and of the software products and services provided by VSTREL (Chinese name: 維斯托; "VSTREL", "we", "us") (collectively, the "Services").

By using the Services you confirm that you have read, understood and agreed to these Terms. If you do not agree to any part of them, please stop using the Services.

Where a specific product (for example Pallo) has its own product terms, those terms prevail for that product; matters not covered there are governed by these Terms.

2. The Services

VSTREL researches, develops and provides software, including matching marketplaces, process automation tools and applied AI products.

For any matching marketplace we operate (such as the freight matching service Pallo), we act solely as a technology provider that discloses information and facilitates introductions between users. VSTREL is not a party to any contract of carriage or other contract formed between users, and assumes none of the obligations or liabilities of a carrier or freight forwarder. Performance, payment, defects, damage, delay and any resulting dispute between users are the sole responsibility of those users.

3. Accounts

Some Services require an account. You must provide accurate, current and complete information and keep it up to date.
You are responsible for safeguarding your credentials and must not transfer, lend or allow others to use your account. All activity under your account is treated as your own.
Notify us immediately of any unauthorised use or security concern.
We may suspend or terminate an account that contains false information or breaches these Terms.

4. Your obligations

You must not:

breach the laws of the Republic of China (Taiwan), public order or good morals;
submit false information, or impersonate another person or misrepresent a licence or qualification;
infringe the intellectual property, privacy, trade secrets or other rights of VSTREL or any third party;
scrape or bulk-extract data by automated means, or interfere with the normal operation of the Services;
do anything that compromises the security or stability of the Services or the rights of other users.

5. Third-party services

The Services may integrate third parties (payment gateways, mapping and location services, cloud and database providers, push notification services). Their provision, availability and handling of your personal data are governed by their own terms and privacy policies. We give no warranty as to the quality or availability of third-party services.

6. Intellectual property

All software, source code, interface design, images, trade marks, text and other content used in the Services belong to VSTREL or its licensors. You may not reproduce, adapt, distribute, publicly transmit, reverse engineer, decompile or commercially exploit them without our prior written consent.

Content you upload (for example cargo details, photographs, text) remains yours. You grant us a licence to use, reproduce, transmit and process that content to the extent necessary to provide, maintain and improve the Services.

7. Disclaimers and limitation of liability

The Services are provided "as is" and "as available". We do not warrant that they will be uninterrupted, error-free or entirely secure, nor that any information is accurate, complete or fit for a particular purpose.
We are not liable where the Services are unavailable in whole or in part due to force majeure, network congestion, equipment failure, telecommunications outage, third-party service failure or any other cause not attributable to us.
We are not liable for disputes, damage or loss arising between users from their own transactions or contracts.
To the maximum extent permitted by law, our total liability to you is limited to the fees you actually paid us for the Services in the twelve (12) months preceding the claim.
These limitations do not apply to our wilful misconduct or gross negligence, and do not exclude liability that cannot be limited or excluded in advance by law.

8. Changes, suspension and termination

We may change, suspend or terminate all or part of the Services where necessary (including maintenance, upgrades, adjustments or changes in law), giving advance notice where practicable. You may stop using the Services or close your account at any time.

9. Amendments

We may amend these Terms and will publish the amended version and its effective date on this page. Continued use after the effective date constitutes acceptance.

10. Governing law and jurisdiction

These Terms and any dispute arising from the Services are governed by the laws of the Republic of China (Taiwan). The parties agree that the Taiwan Taipei District Court shall be the court of first instance, without prejudice to exclusive jurisdiction provisions under the Consumer Protection Act or other laws.
